Scholarship America websites are maintained by Scholarship America or designated third party entities as a service to students, individuals and the educational and business communities who use the Internet (“Sites”). Access to and use of Scholarship America Sites are subject to the terms and conditions set forth herein and all applicable laws. These terms and conditions may be revised or updated by Scholarship America.
The purpose of our Sites is to provide information and services related to our programs and/or services and programs administered by Scholarship America on behalf of our sponsors. All materials are provided solely for personal, institutional, or demonstration non-commercial use.
By accessing or using the scholarship application portal, website, services or related materials provided by Scholarship America (“we”, “us”, “our”), you (“Applicant”, “you”, “your”) agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree to these Terms, do not submit an application or use our services. Use of our services is also subject to our Privacy Policy, available at https://scholarshipamerica.org/privacy-policy/ (the “Privacy Policy”), which is incorporated herein by reference.
We reserve the right to modify, suspend or discontinue the services (in whole or in part), the Terms or any portion thereof at any time, and such changes will be effective immediately upon posting. Your continued use of the services after notice of changes constitutes your acceptance of the updated Terms.
All content, materials, technologies, marks and software provided by Scholarship America (“Our Materials”) are owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.
Except for the limited license expressly granted below, nothing in these Terms transfers or grants you any right, title, or interest in or to Our Materials, and all rights not expressly granted to you in these Terms are reserved by Scholarship America and its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the services for the sole purpose of applying for the scholarship. You may not copy, reproduce, distribute, modify, create derivative works, frame, mirror, reverse engineer or in any way exploit the services or Our Materials except as expressly permitted in writing by us.
This license is personal to you, is revocable by us at any time in our sole discretion, and does not include any right to: (a) use any robot, spider, scraper, offline reader, data-mining tool, or other automated means to access, collect, or index the services or Our Materials; (b) use Our Materials to train, fine-tune, or otherwise develop any artificial intelligence or machine learning model or dataset; or (c) use the services or Our Materials for any commercial purpose.
If you submit any ideas, suggestions, proposals or other content (“Submissions”) to us as part of your application or otherwise, you grant us and our designees a worldwide, irrevocable, royalty-free, sublicensable right to use, reproduce, distribute, publicly perform and create derivative works of such Submissions in any medium.
You represent and warrant that you own or otherwise control all rights necessary to grant the foregoing license, and that your Submissions do not and will not infringe, misappropriate, or violate the intellectual property, privacy, or other rights of any third party. We are under no obligation to review, post, use, maintain, return, or compensate you for any Submission, and we may remove, edit, or decline to use any Submission at our sole discretion. To the fullest extent permitted by applicable law, you waive any moral rights or similar rights you may have in your Submissions.
Permission is not granted to include material, including graphics and images, from a Scholarship America Site on other websites. You may only include a link directing a browser to material on Scholarship America Sites.
Scholarship America reserves the right to withdraw the permissions given herein upon determination that any or all of the above-stated conditions have not been met, or that additional circumstances lead Scholarship America to conclude, in its sole discretion, that a given link is not in accordance with the business, educational purposes, or best interests of Scholarship America.
All content in a Scholarship America Site is copyrighted. No material may be distributed, downloaded, modified, reused, reproduced, reposted, retransmitted, disseminated, sold, published, broadcast, circulated, or otherwise used except as expressly stated either in such materials or in this notice without the express written permission of Scholarship America. Your use of our services is subject to the Privacy Policy. By using the services, you consent to the collection, use and disclosure of your personal information as described therein.
You agree to defend, indemnify, and hold harmless Scholarship America, its affiliates, sponsors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the services; (b) your Submissions; (c) your breach of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any information or materials you submit to us or the sponsoring organization(s). We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
Scholarship America attempts to keep the contents of Sites accurate and current but makes no warranties or representations in this regard. Visitors and users therefore agree that all access to and use of Sites is at the user’s sole risk.
Scholarship America does not warrant or guarantee that any applicant will receive a scholarship award, that award decisions will meet an applicant’s expectations, or that participation in our programs will result in any particular outcome. All eligibility, selection, and award determinations are made in our sole discretion, in accordance with the requirements of the applicable sponsoring organization(s) and are final and not subject to appeal.
THE SERVICES AND OUR MATERIALS ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
We do not warrant that the services will be uninterrupted, error-free, secure or free of harmful components (viruses, malware, etc.). You are responsible for obtaining and maintaining all telecommunications, computer hardware and software required to access the services and the associated costs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCHOLARSHIP AMERICA, ITS AFFILIATES, SPONSORS, LICENSORS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE ACCESS, USE OR INABILITY TO USE OUR SITES OR ANY SERVICES PROVIDED BY WAY OF THAT SITE, OR TO ANY ERRORS OR OMISSIONS IN THE CONTENT HEREOF, OR THE SERVICES, APPLICATION, AWARD PROCESS OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, OUR MAXIMUM AGGREGATE LIABILITY FOR DAMAGES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. Scholarship America provides various online registrations, applications, and request forms as a convenience to its users. All users of these services do so at their sole risk and without any representations, warranties, or assurances by Scholarship America regarding the security of the information that they provide online. Scholarship America further makes no representations, warranties, or assurances that the information users supply online will be transmitted immediately or correctly to Scholarship America or will be processed in the amount of time users require to meet their needs or deadlines. By using these online services, all users expressly acknowledge and agree that they will not have or assert any claims of any kind or character against Scholarship America or its employees or agents relating in any way to their use of the service(s).
We will not be liable for any delay or failure to perform any obligation under these Terms resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, governmental action, or failures of the internet, telecommunications, or utility infrastructure.
We may suspend or terminate your access to the services immediately, without notice, if you violate these Terms or for any reason in our sole discretion. Upon termination, your rights to use the services cease, and you must cease all use of the services and destroy any downloaded materials.
Any provision of these Terms that by its nature should survive termination will survive termination, including, without limitation, the Intellectual Property, Indemnification, Privacy & Data, Disclaimers & Limitation of Liability, and Governing Law & Jurisdiction sections.
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota, for any disputes arising out of or relating to these Terms or your use of the services. If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.
To the fullest extent permitted by applicable law, you and Scholarship America agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the services will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules then in effect, rather than in court, except that either party may bring an individual action in small claims court. YOU AND SCHOLARSHIP AMERICA EACH AGREE THAT ANY ARBITRATION OR OTHER PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If you are under the age of majority in your jurisdiction, this provision must also be agreed to by your parent or legal guardian.
You represent and warrant that all information submitted by you in the application, profile, attachments, and any required documents is accurate, complete, and current.
You authorize Scholarship America and the sponsoring organization(s) to verify any information you provide, including educational, financial and personal background information.
You understand that eligibility, selection, award amounts, disbursement methods and continued participation in the scholarship program are subject to these Terms, the requirements of the sponsoring organization(s), and any additional rules or conditions communicated to you.
False, misleading or incomplete information may result in disqualification to the extent permitted by applicable law and consistent with program rules, award revocation, or requirement to repay the award, in each case in our sole discretion consistent with these Terms.
If you are selected for an award, you must accept or decline the award as instructed within the specified timeframe. Acceptance binds you to these Terms and any additional conditions provided by the sponsoring organization(s).
Upon acceptance you agree to provide any required documentation (e.g., official transcript, proof of enrollment, institution information, student ID, etc.) and to timely update your profile with accurate personal data (e.g., legal name, date of birth, phone number, enrollment institution).
Once a student accepts the award, they agree to conditions tied to publicity, photos, and announcement rights.
If you decline the award or fail to comply with acceptance requirements, Scholarship America reserves the right to withdraw the award offer.
By accepting an award, you grant Scholarship America and the sponsoring organization(s) the right to use your name, city/state of residence, award information, photograph, likeness, statements, and biographical information for promotional, advertising, reporting, or public relations purposes, including publication in print, online, and social media, without further compensation, unless prohibited by law. Scholarship America may request a photograph or additional information from award recipients for these purposes. Participation in publicity activities is voluntary, and you may opt out of public recognition by notifying Scholarship America in writing.
You may use the scholarship application portal and related services solely for the purpose of applying for the scholarship program and in accordance with these Terms.
You agree to maintain the confidentiality of your login credentials (if any) and are responsible for all activity under your account.
You agree not to misuse the services. Prohibited conduct includes, but is not limited to: submitting fraudulent or altered information, impersonating another person, interfering with the services, reverse engineering or modifying the site or services, or harvesting data about other users without consent.
These Terms constitute the entire agreement between you and Scholarship America regarding your use of the services and supersede any prior or contemporaneous agreements, oral or written, regarding such subject matter.
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms at our discretion.
No waiver of any breach or default hereunder shall be effective unless in writing and signed by an authorized representative of us.
Section headings are for convenience only and have no legal effect.
These Terms are for the benefit of you and Scholarship America only and do not create any right or cause of action in favor of any third party, including any sponsoring organization, unless expressly stated otherwise.
You agree to comply with all applicable export control and economic sanctions laws in connection with your access to and use of the services.
